European Energy Transformation

Europe is undergoing one of the most significant energy transitions in modern history. The global crude oil market was valued at approximately USD 1.45 trillion in 2023 and is projected to reach USD 1.64 trillion by 2030², even as ambitious climate policies demand a sharp reduction in greenhouse gas emissions.

 

This paradox – growing demand alongside increasing pressure to phase out fossil fuels – creates both structural risks and unprecedented opportunities. Companies capable of combining access to established markets with circular and sustainable alternatives are uniquely positioned to play a decisive role in the transformation.

Europe’s reliance on imports, however, is overwhelming: more than 95% of crude oil is imported, mainly from the United States, Norway and Kazakhstan, following the sharp decline of Russian supply since 2022.

This dependence leaves Europe exposed to geopolitical risks and extreme volatility. Over the past four years, crude oil prices have fluctuated dramatically, with historic lows during the pandemic in 2020, record highs in 2022, and subsequent stabilisation around mid-range levels in 2023–2024.

Such instability underscores the urgent need for alternatives that can integrate with existing infrastructure while reducing exposure to supply shocks and environmental concerns.

Circular oil

The Immediate Revenue Driver

Europe generates over 25 million tonnes of plastic waste yearly, with less than 30% recycled. Nexergy converts this wasted resource into circular oil and fuels using multiple advanced technologies, ensuring flexibility across sites.

Each large-scale facility processes tens of thousands of tonnes annually, producing circular oil alongside valuable by-products such as carbon char and syngas, which improve revenue and reduce operating costs.

Strong EU regulations and corporate recycled-content commitments are driving sustained demand, making circular oil a critical component of Europe’s future energy and materials mix.

NEXERGY BUSINESS PLAN

Building Value Through Listed SPVs

SPVS

Nexergy’s long-term strategy is to turn innovation into listed market value. To achieve this, the company is building a portfolio of Special Purpose Vehicles (SPVs), each focused on a specific technology segment such as circular oil, hydrogen, or other renewable solutions.

Each SPV functions as an independent company that can raise its own capital, form partnerships, and choose the most suitable path to listing — via RTO, direct listing, or IPO. By separating technologies into distinct entities, the market can value each platform individually while investors gain direct exposure to their growth.

Before each listing, all registered Nexergy shareholders receive a pro-rata allocation of SPV shares. Once listed, these shares are fully tradeable, offering both liquidity and upside potential. Nexergy also retains a significant stake in each SPV, ensuring ongoing participation in future performance.

This structure allows investors to benefit twice — through direct SPV ownership and through Nexergy’s consolidated portfolio of listed assets.

Ongoing RTO Execution

In line with this strategy, Nexergy has initiated a Reverse Takeover for one of its green-oil subsidiaries. The transaction is now moving through due diligence and regulatory steps and is expected to result in the subsidiary becoming a separately listed entity before the end of 2025, with early 2026 also possible depending on approvals.

This demonstrates Nexergy’s ability to convert its platform model into tangible listed value, while giving all shareholders direct equity participation in the new entity.
